Terms of Use - Service providers

TimeCenter is a service to schedule and manage appointments online, and is owned by TimeCenter AB, Swedish business licence number 556897-7747, Tjärögatan 46, 25733 Rydebäck, SWEDEN. In accordance with the terms of this Agreement, TimeCenter AB grants you a limited right, which is neither exclusive, transferable or sub-licensable, to access, use and share this Site and the materials contained on it during the term of your subscription for the sole purpose of using the TimeCenter service.

For the avoidance of doubt, you hereby acknowledge and agree that TimeCenter only provides the described online appointment service and in no way is responsible for the performance of the service booked through the TimeCenter service.

Definitions

The following definitions are used throughout this Agreement.
  • We, Us and TimeCenter always refers to TimeCenter AB as a company or TimeCenter as a service.
  • Website or Site refers to www.timecenter.com and other sites owned by TimeCenter AB related to the TimeCenter service.
  • Service Provider is the person, company or organization and its owners, employees, partners or consultants, who use TimeCenter to manage reservations online.
  • Main Administrator is the person of the Service Provider who has the ultimate responsibility for the use of the Service and agrees to comply with the terms of this Agreement on behalf of himself/herself as well as the Service Provider. The Main Administrator is usually the one who created the account on TimeCenter, and can in turn hand out permissions to other users, as mentioned below as Staff and End users.
  • Staff is anyone who has any kind of administrative access to the Service Provider's booking system and is, like the Main Administrator, required to comply with the terms of this Agreement, in particular the paragraph User account.
  • End users are any users who make an appointment with the Service Provider, either by visiting the Site, or through other contact with the Service Provider.

Summary of terms

  • TimeCenter will never send unsolicited e-mail/spam to your clients
  • TimeCenter will never share your or your clients' personally identifiable information to third parties for commercial purposes. Your e-mail, personal information and client database is safe with us.
  • You are responsible for keeping your login information secret
  • There is no binding period and no start-up fee
  • You are responsible to give support to your staff and your clients
  • You are responsible for contacting the client if you can not complete and/or attend to a booking
  • 99.9% Uptime Guarantee - We guarantee that the TimeCenter online scheduling service will be available 99.9% of the time each month, excluding scheduled maintenance.
  • 100% Money-Back-Guarantee: You have the right to cancel your subscription within 30 days and We will refund all subscription and similar fees, excluding used SMS/text credits

Changes in terms of use

TimeCenter AB reserves the right at any time, in its sole discretion, modify, add or remove any portion of this Agreement, with or without notice to you. Amendments to this Agreement become effective when the changes are published on the Website. Your continued use of the Website and services after any changes to this Agreement are posted will be considered acceptance of those changes. Please check these terms continuously for changes. The date of the last change is always available on the top of the Agreement.

100% Money-Back-Guarantee

To let you try TimeCenter, we offer a 100% Money-Back-Guarantee, which means that you will get the money paid for the subscription back if you decide to cancel your subscription within 30 days from when you first created your user account. From the date you requested to use the Guarantee, you will get a refund within 30 days. Used SMS/text credits are not refundable.

Any cancellation of your subscription with us will not affect the relationship between the End user and the Service Provider and fees agreed upon as part of said relationship.

The 100% Money-Back-Guarantee does not apply if you intentionally or by gross negligence violate any term of this Agreement and such violation causes TimeCenter AB to incur costs, fees or damages.

Fees & SMS/text credits

You agree to pre-pay subscription fees listed on TimeCenter's Website and under "Account" in your booking page on TimeCenter, and other charges as agreed upon by communicating with TimeCenter. You agree that addresses and e-mail addresses you enter in your account settings are valid and that TimeCenter may bill you if payment would be withheld. Since the subscription is prepaid, there is no binding period and there is no start-up fee.

To use the SMS services in TimeCenter, you are required to pre-purchase a number of SMS credits. You are responsible for refilling them when they are running low, to keep the SMS services running. All invoices will be available on your Account page.

If you are outside Sweden, but within the European Union, and choose to enter your VAT number to make a purchase without VAT, you certify that the VAT number is valid and belongs to you and your business. All fees paid by you to TimeCenter are non-refundable, except for those mentioned in the "100% Money-Back-Guarantee".

User account

If you choose to sign up, you need to create a user account to gain access to certain pages and services that require special permission. To open such an account, you must register by providing complete and accurate information in a registration form. You will among other information, enter a password. You are responsible for keeping your login information confidential and you are entirely responsible for all activities and tasks that are stored on your account.

You agree to immediately notify TimeCenter AB about the unauthorized use of your account or other breach of security. TimeCenter AB can not be held responsible for any loss suffered by you due to someone else using your password or account. If you register on behalf of third parties, such as a company, organization or other person, you certify by signing up that you have the necessary permissions from third parties to do so.

User's obligations

You warrant and represent that you will use the Website in a manner consistent with all rules and provisions of this Agreement and comply with all existing and future policies and regulations for the Site.

You agree NOT to:
  • spread spam or unsolicited messages via e-mail, SMS or text fields
  • interrupt or attempt to interrupt the operation of the Website or other users in any way
  • pretend to represent TimeCenter AB or anyone other than yourself
  • forge headers or otherwise manipulate the contents of the Site to disguise its origin
  • misrepresent your affiliation with a person or entity
  • act in a way that adversely affects others' ability to use the Site
  • use the Site to participate in activities that violate any applicable law, regulation or binding rules
  • submit material that infringes the rights of others, or which is unlawful, harassing, defamatory, vulgar or otherwise offensive
  • collect or store other users' personal information unless you obtained the express consent of the user
  • use others' data or to log into a server or account which is intended for a different user or to allow third parties to use passwords for unauthorized use of protected pages
  • look for and/or exploit vulnerabilities in the system or violate safety measures without permission
  • use software, tools, drivers or other technology (including Web browsers, spiders, robots or intelligent agents) to interfere with or otherwise use the Website in an abnormal way
  • use automated means, (including spiders, robots, crawlers, screen scrapers and the like) to retrieve or process data from the Site, unless expressly permitted by TimeCenter
  • translate, decompile, disassemble, modify, reverse engineer or create derivative works from TimeCenter and its services
Violations of system security may result in prosecution. TimeCenter AB has the right to investigate such crimes and reserves the right to involve the relevant authorities. You agree to defend, indemnify and hold TimeCenter AB harmless from and against all direct and indirect costs, claims and expenses, including attorney's fees, incurred by TimeCenter AB, its affiliated companies, employees, representatives or consultants in connection with your use of this Site.

Changes to services and prices

TimeCenter AB may at any time without informing remove, modify or correct any errors or omissions anywhere on the Site, implement other changes to the Site, materials and the products, programs, services or prices described on the Site, and to withdraw or discontinue access to all or various features of the Site.

Third party links from this page

This Website may provide links to Web sites operated by other entities. If you visit any linked Site, it's at your own risk and you have the responsibility to take steps to protect yourself against viruses and the like. TimeCenter AB does not monitor or review the content on the Websites of third parties and can not be held responsible that information, products or services on these sites is accurate or reliable. A link does not imply that TimeCenter AB or this Site sponsors, endorses, is affiliated or associated with, or that any linked Site is authorized to use any trademark, trade name, logo or copyright symbol of TimeCenter AB.

Main Administrator's obligations

The Main Administrator agrees to provide support to staff and End users for all basic functions of TimeCenter, such as registration, login, scheduling, cancellation and rescheduling. Additional technical support, service requests and issues that can not be answered by the Main Administrator shall be forwarded to TimeCenter's Support by e-mail. TimeCenter may then, but is not obligated to, provide support to the Main Administrator who then shall forward the answer to the person concerned.

The Main Administrator is also responsible for managing schedules, services, staff and the required settings and adjustments. In addition, the Main Administrator is also required and solely liable to notify End users about possible cancellations of appointments and other changes that affect the end user.

End user's obligations

All appointments that an end user make are binding and must comply with the Service Provider's reservation policy. The end user is responsible to fulfill and attend the appointment that was made with the Service Provider through TimeCenter. If the end user can not attend the appointment, the end user is solely responsible to communicate this to the Service Provider. For security reasons, End users IP-addresses are saved along with personal identifiable information. This will only be disclosed if required by law or regulation, and then only to a court or other authority.

The End user is solely responsible for compliance with the additional terms and conditions that the Service Provider may apply for using the Service Provider's products and/or services, including but not limited to paying the fees charged by the Service Provider. The Service Provider acknowledges and agrees that TimeCenter does not review or certify the Service Provider's terms and conditions in any way, and that the End user is solely responsible for performing its own review and assessment of the Service Provider, the Service Provider's terms and conditions and the service offered by the Service Provider.

Data Protection Policy

Your privacy is important to TimeCenter. In our Data Protection Policy we explain how we collect and use your personal data. We also tell you about your rights and how you can use them.

Cookie Policy

The TimeCenter platform uses cookies and similar technologies for providing essential platform functionality, web analytics and marketing purposes. Read more about how we use cookies and similar technology in our Cookie Policy.

Data Processing Agreement (DPA)

To the extent that TimeCenter processes any Personal Data (as defined in the DPA) in connection with the provision of the TimeCenter service, the terms of the Data Processing Agreement (DPA) apply. The DPA hereby becomes part of the Terms of Use - Service Providers. The parties agree to comply with the DPA and the Terms of Use.

Intellectual Property

All content on this Site, including graphics and software, is by TimeCenter AB considered to be protected by Swedish copyright law and international copyright laws, treaties governing copyright and related rights and other intellectual property protection. All content is owned or otherwise held by TimeCenter AB. Nothing in these conditions means that the user is given any right to TimeCenter AB's intellectual property, related rights or know-how except such use which is necessary to use the TimeCenter service.

The Service Provider may not sell, transfer, license, distribute, reproduce or publicly display the content, other than as explicitly allowed hereunder. The use of the content on any other website or other network is forbidden. The Service Provider may not copy or adapt the HTML code that TimeCenter AB use to design and operate their pages. Improper use of content can constitute a copyright infringement or other infringement of intellectual property rights. All marks of copyright and trademark protection and the like shall be retained when copying for private use. By using this Site you agree to comply with all international copyright laws and prevent illegal copying of the material.

Any and all material, and intellectual property rights, know-how and related rights thereto, which you submit to us or post on our Site shall automatically be owned by us, with full and free right of disposal, including but not limited to the right to make changes, transfers to third parties, copy and publish in current and future media. You hereby waive, to the fullest extent permitted by law, any and all moral rights in such materials.

Marketing and Links

TimeCenter AB reserves the right, which the Service Provider accepts, to insert text, graphics and links to market TimeCenter and its services anywhere on the Website, on the Service Provider's booking page, in messages via e-mail and SMS/text messages, such as confirmations and reminders, and in newsletters.

By using the service, the Service Provider agrees that TimeCenter AB may use the company's or organization's (i.e. the Service Provider's) name, trademarks, and logos in advertising and on TimeCenter AB’s Websites. The Service Provider may in writing waive this by contacting TimeCenter Support.

If you choose to embed TimeCenter on another Site, using IFRAME or other similar techniques, you agree to maintain a link to TimeCenter (http://www.timecenter.com/) throughout the subscription period.

Communications from TimeCenter

TimeCenter reserves the right to contact the Service Provider, the Main Administrator and the Staff for feedback and support and service related matters. We reserve the right to contact you by e-mail, text or voice messages, or messages throughout the Site. Notices will be deemed received within 24 hours after they have been sent or published, whether you actually read them. The only way to opt out of receiving such notices is by discontinuing using the service.

TimeCenter reserves the right to contact End users directly by phone and/or e-mail only in cases where this is required to complete a booking, or when any situation has arisen which requires this contact. We will never contact End users for direct marketing purposes.

TimeCenter automatically sends e-mails and text messages on behalf of the Service Provider to staff and End users, such as in relation to bookings and cancellations. The Service Provider is responsible that the specified e-mail address is correct and appropriate for the contents of such messages, and that End users can respond directly to it. TimeCenter is not responsible for any message that does not arrive or for the deliverability of such messages.

Our responsibility

TimeCenter is not responsible for providing help or support to you, including bug fixes, upgrades, support, updates, bug fixes, enhancements, or other types of support. You agree that the TimeCenter service is provided “as is” and that TimeCenter has no responsibility or liability for the storage or deletion of any submitted material or for any claims an End user may make against a Service Provider for errors in appointments made or other appointment related mistakes. TimeCenter reserves the right but not the obligation, to remove submitted material at our sole discretion. We may monitor your use of the service, to the extent permitted by law, to ensure that these terms are complied with, to meet legal requirements or to protect our and others' rights, but above all to maintain the high quality of the service.

TimeCenter is never responsible for the performance of services or products booked through the TimeCenter service.

99.9% uptime guarantee

We guarantee that the TimeCenter booking service will be available 99.9% of the time each month, excluding scheduled maintenance. If availability is lower than this, the Service Provider will receive credit with TimeCenter equivalent of one (1) day every 30 minutes of unavailablity of the service. To receive this credit, the customer needs to contact TimeCenter support within 30 days of the event.

Scheduled maintenance may be performed during our service windows that occur on Saturdays between 2-6am GMT/London (EST/New York: Friday 9pm - Saturday 1am, PST/Los Angeles: Friday 6pm-10pm) The website may be unavailable during the whole or a part of this duration.

Termination of subscription

If you violate any term of this Agreement TimeCenter AB has the right to terminate your subscription with immediate effect. Upon such termination of your subscription, all your rights in relation to TimeCenter cease. TimeCenter is not required to repay any of your pre-paid subscription or SMS credits, except for those mentioned in the "100% Money-Back-Guarantee".

Notwithstanding any provision of this Agreement, TimeCenter AB reserves the right in its sole discretion, without any notice or liability to the Service Provider, to at any time terminate the Service Provider's subscription and right to use the service, or any part thereof with thirty (30) days prior notice. In this case TimeCenter refunds any outstanding subscription fee and SMS credits.

A termination of the Service Provider's subscription with TimeCenter does consequentially not automatically terminate the agreement between the End user and the Service Provider.

Disclaimer

TimeCenter AB, its owners, employees, partners or consultants can not be held responsible for any damage (direct or indirect), including (but not limited to) lost production, lost contracts, lost revenue, lost data, lost information or disruption of production, which in any way is connected with the use or inability to use this Website or its contents or that somehow has a connection with this Agreement. Nor can TimeCenter AB be held responsible if the information on this Site contains mistakes, omissions or inaccuracies.

TimeCenter AB is trying as far as reasonably possible to ensure that the information on this Website is accurate. This can not be guaranteed where the material may contain inaccuracies and typographical errors.

TimeCenter AB can not provide guarantees regarding the operation of this Site or its security. Information can be intercepted and TimeCenter AB makes no warranties that the Website or the servers that make this Site available are free of viruses or other harmful elements.

TimeCenter AB disclaims all such representations. TimeCenter AB is also not obligated to reimburse users for something that could be considered a violation by TimeCenter AB of these terms and conditions if it is caused by a Force Majeure event, or circumstances beyond TimeCenter AB's reasonable control such as natural disasters, serious technical problems, wars, disputes, malfunction in Internet connectivity and more. That said, it should be stressed that all safety and operational measures are taken daily to ensure a smooth and reliable system.

Notwithstanding the above, TimeCenter AB accepts such liability towards you which follows from mandatory law, which liability however shall be, as far as is legally permissible, limited to the total amount of fees paid by you to us.

Sole remedy

The only remedy the Service Provider has for any dispute with TimeCenter AB is, except as may follow from mandatory law, to discontinue using the service.

Applicable law

This Site is controlled, operated and administered by TimeCenter AB from its offices in Sweden. These Terms shall be construed in accordance with substantive Swedish law and shall be referred to a Swedish court if a dispute arises. However, you shall not initiate any court proceedings without first notifying TimeCenter AB and through good faith discussions having tried, for two (2) months, to reach a settlement of the matter.

Severability

If any provision of these Terms is deemed invalid or unenforceable in accordance with its terms, such invalidity or unenforceability shall in no event affect the applicability of other provisions hereunder, which other provisions shall remain in full force and effect, provided however that TimeCenter shall make the necessary amendments to the Terms as to validly achieve, to the greatest extent possible, the same commercial effect as had such provision been deemed valid and enforceable.

Assignability

You are not entitled to transfer, assign, pledge or license any of your rights or obligations hereunder to any third party. TimeCenter AB is entitled to transfer, assign, pledge or license any of its rights or obligations to any of its affiliated companies.

In connection with a sale of the shares or business in TimeCenter AB, in full or in part, TimeCenter AB is, regardless of what is stated above regarding PII, entitled to transfer and process the PII in connection thereto, which includes the right to transfer the PII to a buyer of the shares or business.

Confidentiality

You agree to handle all information of a confidential character received directly or indirectly from or concerning us or any of our affiliated companies as confidential and not use it for any other purpose than for use of the TimeCenter service.
